Item 1.01 Entry into a Material Definitive Agreement

 

On November 1, 2010, TriMas Corporation (the “Corporation”) pursuant to Section 2.08 of the Credit Agreement, dated as of June 6, 2002, as amended and restated as of August 2, 2006, as further amended and restated as of December 16, 2009, and as further amended and restated as of January 13, 2010, among the Corporation, TriMas Company LLC, the Subsidiary Term Borrowers party thereto, the Foreign Subsidiary Borrowers party thereto, the Lenders party thereto, JPMorgan Chase Bank, N.A., as Administrative and Collateral Agent, Comerica Bank, as Syndication Agent and J.P. Morgan Securities Inc., as Lead Arranger and Bookrunner (the “Amended and Restated Credit Agreement”), elected to further reduce the Tranche B-1 Commitment under the Amended and Restated Credit Agreement by $20 million in order to reduce interest costs and expenses related thereto.
