TriMas Corporation Announces Pricing of Upsized Offering of Common Stock by Stockholder

BLOOMFIELD HILLS, Mich., April 20, 2011 /PRNewswire/ -- TriMas Corporation (NASDAQ: TRS) announced today that the sale by Heartland Industrial Associates, L.L.C. of 4,500,000 shares of TriMas Corporation's common stock to Deutsche Bank Securities Inc. as the sole underwriter in the registered public offering of those shares has been priced at $20.70 per share.   The size of the offering was increased from the previously announced 4,000,000 shares of common stock.  All net proceeds from the sale of the common stock will be received by the selling stockholder.  TriMas Corporation will not receive any of the proceeds.  The total number of outstanding shares of TriMas Corporation's common stock will not change as a result of this offering.  The offering is expected t o close on April 25, 2011, subject to customary closing conditions.

The shares are being sold by the selling stockholder pursuant to an effective shelf registration statement.
